Master Services Agreement in Saudi Arabia: Template, Key Clauses and Local Law (2026)

Adira EditorialLegal AI desk5 min read

A master services agreement (MSA) is the umbrella contract between a customer and a service provider. It sets the terms that apply to the whole relationship once, so that each new piece of work only needs a short statement of work (SOW) on top. You agree payment, liability, confidentiality, intellectual property and dispute rules a single time, then run many projects under them without renegotiating from scratch. In Saudi Arabia, an MSA suits ongoing supplier relationships: IT services, consulting, marketing, facilities, logistics and managed services. The MSA holds the stable terms. Each SOW holds the deliverables, timeline and price for one engagement. ## When you need an MSA in Saudi Arabia Use an MSA when you expect repeat work with the same counterparty. If you will only ever sign one project, a single services agreement is simpler. Signs you have outgrown one-off contracts: - You keep copying and editing the same contract for each project.

  • Different projects carry different liability or IP terms by accident.
  • Procurement and legal review slow every new piece of work. ## Is an MSA enforceable in Saudi Arabia? Yes. Saudi contract law was codified for the first time in the Civil Transactions Law, issued by Royal Decree No. M/191 and in force from 16 December 2023. It confirms freedom of contract and requires parties to perform in good faith. Where the code is silent, principles of Sharia continue to apply, and courts read contracts against them. A few local points shape every Saudi MSA: - No interest (riba). Clauses that charge interest on late payment can be challenged. Many Saudi contracts use agreed service-suspension rights or liquidated damages for delay instead, and even those are subject to the court's power to adjust amounts it sees as excessive.
  • Language. A contract can be in English, but Arabic governs before Saudi courts and government bodies, and government contracts are in Arabic. For bilingual contracts, state which language prevails.
  • VAT. Value added tax is 15 percent, administered by the Zakat, Tax and Customs Authority (ZATCA), with e-invoicing (Fatoora) for registered suppliers. Say whether fees are inclusive or exclusive of VAT.
  • Dispute resolution. Commercial disputes go to the commercial courts, or to arbitration under the Arbitration Law (Royal Decree No. M/34 of 2012), often administered by the Saudi Center for Commercial Arbitration (SCCA). Choose one route and name the seat and language.
  • Signing. Electronic signatures are recognised under the Electronic Transactions Law (Royal Decree No. M/18 of 2007, amended in 2023), subject to its conditions. ## Key clauses in a Saudi MSA ### Structure and order of precedence Say that the MSA governs, each SOW sits under it, and which document wins if they conflict. Usually the MSA controls on legal terms and the SOW controls on scope and price. ### Scope and statements of work Describe how SOWs are raised, approved and signed. Keep deliverables, milestones and acceptance tests in the SOW, not the MSA. ### Fees, invoicing and tax Set currency (often SAR), payment period, invoicing method and VAT treatment. Avoid interest-based late fees; use suspension or agreed delay compensation instead. ### Confidentiality and data Protect each side's confidential information. If the provider handles personal data, a separate data processing agreement under the Personal Data Protection Law should sit alongside the MSA. ### Intellectual property State who owns deliverables, background IP and any licence granted. For software or content, define the licence scope clearly. ### Warranties, liability and indemnities Give a service warranty (skill and care). Cap liability and exclude indirect loss, remembering the court can review amounts it considers unfair. ### Term, termination and suspension Cover the MSA term, termination for cause and convenience, and what happens to live SOWs on termination. ### Governing law and disputes Name Saudi law, and pick commercial courts or SCCA arbitration with a defined seat and language. ## A simple Saudi MSA template outline 1. Agree the MSA legal terms once with legal input, then standardise a short SOW template your teams can fill in without re-opening the MSA. Keep a single source of truth so every SOW points back to the same signed MSA version, and track renewal and termination dates so nothing lapses by surprise. ## Draft, review and track an MSA in one workspace Teams often lose the thread between the MSA, its SOWs and the renewal dates because each lives in a different file or inbox. Adira is an AI legal operating system that keeps drafting, clause-level review, version history and date tracking in one place, so the MSA and every SOW under it stay linked. Adira is India-first today; deeper Saudi Arabia jurisdiction support is on its roadmap, so treat Saudi-specific drafting as a starting point to confirm with local counsel. Frequently asked questions

Is an MSA legally binding in Saudi Arabia?
Yes. Under the Civil Transactions Law (Royal Decree No. M/191, in force from 16 December 2023) parties are free to contract and must act in good faith, so a properly agreed MSA is binding, read alongside principles of Sharia where the code is silent.
Can a Saudi MSA charge interest on late payments?
Interest (riba) clauses can be unenforceable. Many Saudi contracts instead use rights to suspend services or agreed delay compensation, and even those amounts can be reviewed by a court.
Does a Saudi MSA have to be in Arabic?
An MSA can be in English, but Arabic governs before Saudi courts and government bodies, and government contracts are in Arabic. For bilingual contracts, state which language prevails.
How do MSAs and SOWs fit together?
The MSA holds the stable legal terms for the whole relationship. Each statement of work (SOW) sits under it and holds the scope, timeline and price for one project, so you do not renegotiate the full contract each time.
