Guarantee Agreement Template and How to Draft One (2026)
What a guarantee agreement is A guarantee agreement, or contract of guarantee, is a promise by one person (the surety or guarantor) to answer for the debt or default of another person (the principal debtor) made to a third person (the creditor). In India this is governed by Sections 126 to 147 of the Indian Contract Act, 1872. A contract of guarantee can be oral or written, but in practice it is always written, and often executed as a deed of guarantee on stamp paper. A guarantee is different from an indemnity. In a guarantee there are three parties and the guarantor's liability is secondary: it is triggered only when the principal debtor defaults. In an indemnity there are two parties and the liability is primary. Knowing which one you are signing matters, because the guarantor's defences differ. ## Guarantee agreement template (copy and adapt) ```

Frequently asked questions
- What is the difference between a guarantee and an indemnity?
- A guarantee is a three-party promise where the guarantor is secondarily liable, triggered only when the principal debtor defaults (Sections 126 to 147 of the Indian Contract Act). An indemnity is a two-party promise where liability is primary. The guarantor keeps defences that an indemnifier does not, so identify which instrument you are signing before you sign it.
- Can a guarantor limit how much they owe?
- Yes. A guarantor can and usually should cap liability at a maximum amount and set an end date. Without a cap, the guarantor is exposed to everything owed under the underlying arrangement, plus interest and costs. State the cap clearly in the deed, and keep a copy of the underlying facility because it defines the obligation.
- When is a guarantor discharged under Indian law?
- A surety can be discharged by revocation as to future transactions (Section 130), by a variation of the contract without consent (Section 133), by a release or compromise with the principal debtor (Section 134), and where the creditor impairs the surety's remedy (Section 139). Creditors often draft to waive some of these, so read the discharge clause carefully.
