Consulting Agreement Template and How to Draft One (2026)
What is a consulting agreement, and when do you need one? A consulting agreement is a contract between a client and an independent consultant who provides expert advice or services for a fee, without becoming an employee. You need one whenever you hire outside expertise on a project or retainer basis: a strategy adviser, a technical specialist, a marketing consultant, a fractional executive. It protects both sides by fixing the scope, the fee, who owns the work, and how either party can end the relationship. Below is a consulting agreement template you can copy and adapt, followed by plain-English guidance on how to fill each clause. This is general information, not legal advice. For a high-value or unusual engagement, have a qualified lawyer review your final document. ## Consulting agreement template ```

Frequently asked questions
- Is a consultant an employee or a contractor?
- A genuine consultant is an independent contractor, responsible for their own taxes and without employee benefits. The label in the contract is not the final word; tax and labour authorities look at how the relationship works in practice, including control and exclusivity. The test varies by jurisdiction, so structure the relationship to be genuinely independent.
- Who owns the work a consultant creates?
- Only if the agreement says so. By default, ownership of created work does not always pass to the client automatically. A clear IP assignment clause, like the one in the template, transfers ownership of the deliverables to the client on payment, which is usually what both sides intend.
- Do I need to deduct tax when paying a consultant in India?
- Often, yes. Payments for professional or technical services commonly attract tax deducted at source, and GST may apply on the consultant's invoice. The exact rates and thresholds change, so confirm the current position with a tax adviser. This template is general information, not tax or legal advice.
