Annual Maintenance Contract Template and How to Draft One (2026)
What is an annual maintenance contract, and when do you need one? An annual maintenance contract (AMC) is an agreement under which a service provider keeps a customer's equipment, systems or software running for a fixed yearly fee. It is common for IT hardware, software, lifts, HVAC, generators, medical equipment, and machinery. It covers both planned upkeep (preventive maintenance) and fixing problems when they happen (breakdown or corrective maintenance). You need one whenever equipment matters enough that downtime is costly and you want predictable service and predictable cost, rather than paying for each visit. Below is an annual maintenance contract template you can copy and adapt, followed by plain-English guidance on how to fill each clause. This is general information, not legal advice. For high-value or safety-critical equipment, have a qualified lawyer review your final document. ## Annual maintenance contract template ```

Frequently asked questions
- What is the difference between a comprehensive and a non-comprehensive AMC?
- A comprehensive AMC includes spare parts in the annual fee, so your cost is predictable but the provider prices that risk into the fee. A non-comprehensive AMC covers labour and service only, with spare parts quoted and billed separately, so the fee is lower but total cost varies with how many parts fail. The scope clause should state clearly which model applies.
- What should I check about renewal in an AMC?
- Check whether it renews automatically and whether the provider can revise the price for the next term. Auto-renewal with a price-revision right can quietly increase your cost each year. Note the notice period you must give to stop renewal, and put that date in your calendar, because missing it can lock you into another year at a higher price.
- Does an AMC cover losses caused by equipment downtime?
- Usually not. Most AMCs exclude indirect or consequential loss, such as lost production or lost business, and cap the provider's total liability, often at the annual fee. If your equipment is critical, test whether that cap is realistic for the harm a long outage would cause, and negotiate it before signing. How far such caps are enforced varies by jurisdiction, so this is general information, not legal advice.
